Terms of Service

Parties and agreement

These Terms of Service ("Terms") form a binding contract between Nodus Events Limited, a company registered in England and Wales (Company No. 17208744) with its registered office at 79 Belgrave Road, Aylesbury, England, HP19 9TN ("we", "us", "our"), and the individual or organisation accessing or using the Platform ("you", "your").

By creating an account or using the Platform, you confirm you have authority to bind yourself or your organisation to these Terms. If you do not agree, do not use the Platform.

These Terms are governed by English law. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

The Platform

We operate Nodus, a wedding planning and vendor management platform for South Asian weddings in the UK, available at thenodus.uk (the "Platform"). We grant you a limited, non-exclusive, non-transferable right to access and use the Platform during your subscription term, subject to these Terms.

Accounts

You must provide accurate information when creating an account and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at hello@thenodus.uk if you suspect unauthorised access.

We may suspend or terminate your account if we reasonably believe your credentials have been compromised, or if you breach these Terms.

Subscriptions, fees, and payment

No subscription fees. Nodus does not charge subscription or monthly fees to couples or vendors. Access to the Platform is free to set up and use.

Couple platform fee. Couples pay a small platform fee on each confirmed vendor booking made through the Platform. The applicable fee is displayed at the point of confirmation and is charged at that time via our payment processor. All fees are in pounds sterling and are inclusive of VAT unless stated otherwise.

Vendor commission. Vendors pay a commission on each completed booking processed through the Platform. The applicable commission rate is as shown in your vendor account or as set out in your vendor agreement. Commission is deducted from the payment disbursed to you. There are no listing charges, monthly fees, or upfront costs.

Payment processing. All payments are processed via Stripe. By confirming a booking, you authorise the applicable charge to your nominated payment method. If a payment fails, we will notify you and retry for up to 7 days. Sustained payment failure may result in suspension of your ability to make or receive bookings.

Cancellations and refunds. Our booking protection policy governs refunds on cancelled or failed bookings. Platform fees and commissions are non-refundable except where required by law or where a refund is due under our booking protection policy.

Rate changes. We will give at least 30 days' notice of any change to platform fee or commission rates. Continued use of the Platform after the effective date constitutes acceptance of the revised rates.

Acceptable use

You agree not to:

  • use the Platform for any unlawful purpose or in violation of any applicable regulation
  • upload, transmit, or store data that infringes third-party intellectual property rights
  • use the Platform to send unsolicited communications (spam)
  • attempt to gain unauthorised access to our systems or another user's account
  • reverse-engineer, decompile, or extract the source code of the Platform
  • resell or sublicense access to the Platform without our written consent
  • use automated scraping tools against the Platform in a way that degrades performance for other users
  • use the Platform in any way that could damage our reputation or that of our other clients

We reserve the right to suspend or terminate access for breaches of this section, with or without prior notice depending on severity.

Your data and content

You retain all rights to data and content you upload to the Platform ("Your Content"). You grant us a limited licence to host, process, and transmit Your Content solely to provide the service.

You are responsible for ensuring Your Content complies with applicable law, including data protection law. If Your Content involves personal data of third parties, you are the data controller and we act as your processor. Our Data Processing Agreement, available on request to legal@thenodus.uk, governs that relationship.

On cancellation or termination, we will make Your Content available for export for 30 days, after which we will delete it from our systems. Billing records are retained for 7 years as required by law.

Intellectual property

We own all rights in the Platform, including software, algorithms, design, documentation, and any improvements we develop from general feedback. Nothing in these Terms transfers any intellectual property rights to you. The name Nodus, our logo, and associated marks are our trademarks.

If you provide feedback or suggestions, you grant us a royalty-free, perpetual licence to use them without obligation to compensate you or keep them confidential.

Confidentiality

Each party may receive the other's confidential information in connection with the service. Each party agrees to: keep such information confidential; use it only for the purposes of the agreement; and not disclose it to third parties without the disclosing party's consent. This does not apply to information that is or becomes public through no fault of the recipient, or that the recipient can demonstrate it possessed independently.

Availability and service levels

We aim to provide reliable access but do not guarantee uninterrupted availability. We perform maintenance which may cause brief downtime; we will endeavour to provide advance notice.

Nodus will use reasonable endeavours to maintain platform availability but does not guarantee uninterrupted access and makes no warranty as to uptime.

Disclaimer of warranties

The Platform is provided "as is." To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Platform will be error-free, that results obtained through it will be accurate or reliable, or that any particular feature will meet your requirements. Nothing in this section limits your statutory rights.

Limitation of liability

Exclusions. Nothing in these Terms limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded by law.

Cap. Subject to the exclusions above, our total aggregate liability arising out of or in connection with these Terms (whether in contract, tort, or otherwise) is limited to the greater of: (a) the fees you paid to us in the 12 months preceding the claim; or (b) £500.

Consequential loss. We are not liable for: loss of profits, loss of revenue, loss of business, loss of data, business interruption, or indirect or consequential loss, even if we were advised of the possibility.

If you are a consumer (not using the Platform in the course of a business), some of these limitations may not apply to you under applicable consumer protection law.

Indemnity

You agree to indemnify and hold harmless Nodus Events Limited, its officers, employees, and contractors from any claim, damage, or expense (including reasonable legal fees) arising from: your use of the Platform in breach of these Terms; Your Content; or your infringement of any third-party rights.

Suspension and termination

By you. You may terminate your subscription at any time. Termination takes effect at the end of the current billing period.

By us. We may suspend or terminate your access immediately where: you breach these Terms materially and the breach is not capable of remedy; you breach these Terms and fail to remedy within 14 days of written notice; you become insolvent, enter administration, or are unable to pay your debts; or continued access poses a security or legal risk to us or other users.

On termination. All licences granted under these Terms terminate. Provisions that by their nature should survive (confidentiality, limitation of liability, intellectual property, governing law) will survive.

Changes to the Platform and Terms

We may update the Platform or these Terms at any time. For material changes to these Terms, we will give at least 14 days' notice by email or in-Platform notification. Your continued use after the effective date constitutes acceptance. If you do not accept the updated Terms, you may cancel your subscription before they take effect.

General

Entire agreement. These Terms (together with our Privacy Policy, Cookie Policy, and any Order Form) constitute the entire agreement between the parties in respect of the Platform and supersede all prior agreements.

Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force.

No waiver. Failure to enforce any right does not constitute a waiver of future enforcement.

Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor or acquirer of the business.

Notices. Formal notices to us should be sent to legal@thenodus.uk and to you at the email address associated with your account.
